OptiPay is designed for educational and informational purposes only. It is a tax estimation tool that helps Canadian incorporated business owners explore and understand Canadian tax scenarios. OptiPay does not provide professional tax, legal, or financial advice. All calculations are estimates based on publicly available Canadian tax rates and are not a substitute for advice from a qualified CPA, tax lawyer, or financial advisor. Always consult a qualified professional before making any financial decisions.

1. Agreement to Terms

By downloading, installing, or using the OptiPay application ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you ("User") and Pureum Software ("Developer," "we," "us," or "our").

2. Description of the App

OptiPay is a tax planning estimation tool designed for Canadian incorporated business owners and professionals. The App helps users:

  • Estimate and compare salary vs. dividend compensation strategies
  • Calculate approximate corporate and personal tax obligations under Canadian tax law
  • Track payroll remittances and compensation records
  • Explore and save multiple tax scenarios

OptiPay is NOT:

  • A licensed tax preparation software
  • A professional tax or financial advisory service
  • A substitute for advice from a Chartered Professional Accountant (CPA), tax lawyer, or licensed financial advisor
  • Guaranteed to reflect the exact tax liability for any individual situation

3. No Financial or Tax Advice

⚠️ IMPORTANT DISCLAIMER

The information and calculations provided by OptiPay are for general informational and educational purposes only. They are based on publicly available Canadian federal and provincial tax rates for the tax year indicated in the App.

OptiPay does not:

  • Provide professional tax advice
  • Provide professional legal advice
  • Provide professional financial advice
  • Account for every individual tax circumstance, deduction, credit, or carryforward that may apply to your situation

Tax laws change frequently. While we make reasonable efforts to keep tax rates current, we cannot guarantee that all figures are up-to-date at the time of your use. Always verify calculations with a qualified professional.

You assume full responsibility for any financial decisions made based on information provided by OptiPay. Pureum Software and its developers shall not be liable for any losses, penalties, interest charges, or other damages arising from your reliance on the App's calculations.

4. Eligibility

You must be:

  • At least 18 years of age
  • A resident of Canada, or using the App in connection with a Canadian corporation
  • Capable of entering into a legally binding agreement

By using the App, you represent and warrant that you meet these requirements.

5. Account Registration & Security

  • You must sign in using Apple Sign In or Google Sign In to use the App.
  • You are responsible for maintaining the security of your account.
  • You must notify us immediately if you suspect unauthorized access to your account.
  • You agree not to share your account credentials with any other person.

6. Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the App to commit tax fraud or evasion
  • Attempt to reverse-engineer, decompile, or disassemble the App
  • Circumvent any security or access controls within the App
  • Use the App in any manner that could damage, disable, or impair the App or its servers
  • Reproduce, duplicate, copy, sell, or resell any part of the App without express written permission

7. Subscriptions & In-App Purchases

  • OptiPay offers subscription plans ("OptiPay Pro" or equivalent) that unlock premium features.
  • Subscriptions are billed through your Apple App Store account.
  • Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
  • You can manage and cancel subscriptions in your Apple ID Settings.
  • Refunds are subject to Apple's App Store refund policy. We do not control refund decisions made by Apple.

8. Intellectual Property

All content within OptiPay, including but not limited to its design, code, tax calculation logic, user interface, text, and graphics, is the exclusive property of Pureum Software and is protected by Canadian and international copyright and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes in accordance with these Terms.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • ACCURACY OR COMPLETENESS OF TAX CALCULATIONS
  • UNINTERRUPTED OR ERROR-FREE OPERATION

PUREUM SOFTWARE DOES NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS OR THAT THE RESULTS OBTAINED FROM ITS USE WILL BE ACCURATE OR RELIABLE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PUREUM SOFTWARE, ITS DEVELOPERS, OFFICERS, OR AFFILIATES BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS OR REVENUE
  • FINANCIAL PENALTIES, INTEREST, OR TAXES ASSESSED BY THE CRA OR ANY PROVINCIAL REVENUE AGENCY
  • DATA LOSS OR CORRUPTION
  • ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE APP, EVEN IF PUREUM SOFTWARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pureum Software and its developers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Any financial decisions you make based on information provided by the App
  • Your violation of any third-party rights

12. Account Termination

We reserve the right to suspend or terminate your access to the App at any time, without notice, for conduct that we believe:

  • Violates these Terms
  • Is harmful to other users, us, or third parties

You may terminate your account at any time from Settings → Account → Delete Account.

13. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes through the App. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada for any disputes arising under these Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.

1. Acceptation des conditions

En téléchargeant, installant ou utilisant l'application OptiPay (« l'Application »), vous acceptez d'être lié par les présentes Conditions d'utilisation (« Conditions »). Si vous n'acceptez pas ces Conditions, n'utilisez pas l'Application.

Ces Conditions constituent un accord juridiquement contraignant entre vous (« Utilisateur ») et Pureum Software (« Développeur », « nous » ou « notre »).

2. Description de l'Application

OptiPay est un outil d'estimation de planification fiscale conçu pour les propriétaires d'entreprises incorporées canadiennes et les professionnels. L'Application aide les utilisateurs à :

  • Estimer et comparer les stratégies de rémunération par salaire ou dividendes
  • Calculer les obligations fiscales approximatives corporatives et personnelles en vertu du droit fiscal canadien
  • Effectuer le suivi des versements de paie et des dossiers de rémunération
  • Explorer et sauvegarder plusieurs scénarios fiscaux

OptiPay n'est PAS :

  • Un logiciel de préparation fiscale agréé
  • Un service de conseil fiscal ou financier professionnel
  • Un substitut aux conseils d'un comptable professionnel agréé (CPA), d'un avocat fiscaliste ou d'un conseiller financier agréé
  • Garanti de refléter l'obligation fiscale exacte pour toute situation individuelle

3. Absence de conseils financiers ou fiscaux

Les informations et calculs fournis par OptiPay sont à titre informatif et éducatif uniquement. Ils sont basés sur les taux d'imposition fédéraux et provinciaux canadiens accessibles au public pour l'année d'imposition indiquée dans l'Application.

OptiPay ne fournit pas :

  • De conseils fiscaux professionnels
  • De conseils juridiques professionnels
  • De conseils financiers professionnels
  • La prise en compte de chaque circonstance fiscale individuelle, déduction, crédit ou report pouvant s'appliquer à votre situation

Les lois fiscales changent fréquemment. Bien que nous fassions des efforts raisonnables pour maintenir les taux d'imposition à jour, nous ne pouvons garantir que tous les chiffres soient à jour au moment de votre utilisation. Vérifiez toujours les calculs auprès d'un professionnel qualifié.

Vous assumez l'entière responsabilité de toute décision financière prise sur la base des informations fournies par OptiPay. Pureum Software et ses développeurs ne sont pas responsables des pertes, pénalités, intérêts ou autres dommages résultant de votre utilisation des calculs de l'Application.

4. Éligibilité

Vous devez avoir au moins 18 ans et être résident du Canada, ou utiliser l'Application en lien avec une société canadienne, et être en mesure de conclure un contrat juridiquement contraignant.

5. Abonnements et achats intégrés

  • Les abonnements OptiPay sont facturés via votre compte Apple App Store.
  • Les abonnements se renouvellent automatiquement sauf annulation au moins 24 heures avant la fin de la période de facturation en cours.
  • Vous pouvez gérer et annuler vos abonnements dans les Paramètres de votre identifiant Apple.
  • Les remboursements sont soumis à la politique de remboursement de l'App Store d'Apple. Nous ne contrôlons pas les décisions de remboursement prises par Apple.

6. Limitation de responsabilité

DANS TOUTE LA MESURE PERMISE PAR LA LOI APPLICABLE, PUREUM SOFTWARE NE SERA PAS RESPONSABLE DES DOMMAGES INDIRECTS, ACCESSOIRES, SPÉCIAUX, CONSÉCUTIFS OU PUNITIFS, NI DES PÉNALITÉS FISCALES, INTÉRÊTS OU PERTES FINANCIÈRES DÉCOULANT DE VOTRE UTILISATION DE L'APPLICATION.

7. Droit applicable

Les présentes Conditions sont régies par les lois de la province d'Ontario et les lois fédérales du Canada applicables, sans égard aux principes de conflits de lois. Vous acceptez de vous soumettre à la compétence exclusive des tribunaux situés en Ontario, Canada pour tout litige découlant des présentes Conditions.
